Articles of Association
Article 1: Name of the Association
An association called "Higher Metn Artisan" was established in the Lebanese Republic, in accordance with the Law of Associations issued in 1909 and its amendments. It is a non-political, non-profit association.
Article 2: Headquarters
Address: Higher Metn – Ras El Metn – Plot 3226 in the Ras El Metn cadastral district – property of Moheib and Adal Nuwayhed.
Article 3: Objectives
- Promoting, adopting, supporting and encouraging Lebanese creators and creativity in cultural, artistic, craft, and literary fields.
- Preserving and promoting heritage crafts and working to develop, launch, and spread them among the public in Lebanon and abroad.
- Partnering and twinning with public and private institutions that share the association's objectives, to exchange expertise and experiences across all cultural, artistic, craft, literary, and youth fields, and to publish artistic and cultural materials.
- Organizing exhibitions, workshops, seminars, studios, festivals, and permanent or temporary cultural, artistic, and educational centers related to cultural, artistic, craft, and literary topics.
- Helping individuals discover latent talents and develop promising skills by creating appropriate frameworks with the participation of specialists to guide and train them.
Article 4: Resources
The financial resources of the association consist of:
- Membership fees.
- Support from governmental institutions, associations, and international bodies.
- Donations, grants, and the proceeds of the association's activities.
The association's funds shall be spent toward achieving the objectives set out in Article 3 of this charter.
Article 5: Governing Bodies
The association consists of two bodies:
- The General Assembly.
- The Administrative Board.
The duties and powers of each body shall be specified in the Internal Regulations.
Article 6: Committees
The association's Internal Regulations may include the formation of specific committees and bodies, specifying their names, functions, and the method of selecting or appointing their members.
Article 7: Membership Conditions
A person wishing to join the association must:
- Be a Lebanese national enjoying full civil rights and not convicted of a felony or a dishonorable misdemeanor.
- Have reached the legal age of majority.
- Accept the association's charter and work toward achieving its objectives.
Article 8: Membership Application
A person meeting the membership requirements shall submit a written application to the Administrative Board requesting membership, accompanied by a judicial record and a copy of their ID.
The Administrative Board shall review the application at its first legal session and make the appropriate decision by a majority of its members.
Article 9: General Assembly
The General Assembly consists of all members who are effectively enrolled in the association. Its powers and duties shall be specified in detail in the Internal Regulations.
Article 10: Administrative Board
The Administrative Board represents and manages the association in accordance with the regulations and within the applicable laws.
It consists of six members elected by the General Assembly by secret ballot with a majority (half plus one), provided that quorum requires the presence of more than half of the General Assembly members who have paid their annual dues, with a term of three years.
Elections are held at least one month before the end of the Board's term. The General Assembly may call for early elections if proposed by half of its members and approved by at least two thirds.
Elections are chaired by a body of three non-candidate General Assembly members, presided by the oldest member, assisted by the two youngest members present.
The elected Board meets under the chairmanship of its eldest member and selects a President, Vice President, Secretary, Treasurer, and Accountant from among its members, and appoints a representative to the government.
No more than two roles may be assigned to one Board member, except for decision-making and financial disbursement rights.
Founders assume the Administrative Board's powers for a maximum of one year from the date the notification is issued by the Ministry of Interior.
The founding body must complete the association's formation procedures and call for Board elections within one year of the official gazette notice, or the association shall be considered dissolved.
Article 11: Election Minutes
A copy of the Administrative Board election minutes, signed by the attending General Assembly members in accordance with proper procedure, along with a list of candidates and vote tallies, must be submitted to the Political and Electoral Affairs Department.
Article 12: Amendment
The General Assembly may amend this charter upon a proposal by the Administrative Board or by 50% of General Assembly members, provided the amendment is approved by at least two thirds of members and the Directorate General of Political and Refugee Affairs is notified of the amendment.
Article 13: Dissolution
In addition to the conditions provided by the Law on Associations, the association may be dissolved by a decision of its General Assembly approved by at least 75% of all members.
Upon dissolution, all movable and immovable property shall revert to the municipality of Ras El Metn.
